Description

The Strategic Transactions Manager will report directly to the Vice President of Operations and will be solelyresponsible for leading and managing the review and negotiation of all company strategic transactions as it relatesto the Operations Field Services organization. Strategic Transactions may include, but are not limited to, powerpurchase agreements, 3rd party warranty and maintenance agreements, equity sell or acquisition agreements, taxequity agreements, Merger and Acquisitions, etc. Position responsibilities also include direct management of AssetIntegration position and function.The successful candidate will work closely with a wide range of internal departments such as Asset Management,Construction, Generation Control Systems, the National Control Center, Supply Chain, Balance of Plant,Development Origination, Engineering, Permitting and Legal in achieving successful completion of suchtransactions and company objectives.

Key Responsibilities
• Independently manage complex issues and transactions, including the review and negotiation of complicatedcontract structures (PPAs, 3rd party maintenance agreements, Merger and Acquisitions, etc)
• Ability to accurately summarize complex situation and present them in a clear and concise manner tocompany management and executives
• Manage communication with key internal stakeholders and external counterparties to ensure projectsprogress move efficiently and in accordance with company policies and procedures
• Educate Field Services staff on contract obligations and requirements following execution of agreements
• Evaluate risk/benefits associated with contractual requirements and seek to minimize company risk werepossible.
• Collaborate with Construction on project optimization efforts, the Construction to Operations turnover process

and provide a feedback loop based on actual experiences in the field.
• Manage and support strategic local and global initiatives (EBITDA Project, Boost, Repower, Digitalization,etc.)
• Directly oversee the Asset Integration program and position

Requirements
• 7+ years of successful U.S. energy industry experience in any of the following areas or in other similar andapplicable areas: Asset Management, Development, Origination, Construction, Operations, Energy Management,Risk, Accounting or Finance. The company may consider a candidate with less experience at a lower level
• Bachelor’s degree or the equivalent combination of education and experience
• Demonstrated experience with review and/or negotiation of complicated contract structures (e.g. PPAs, 3rdparty maintenance agreements)
• Excellent project management skills coupled with organization, flexibility, and strong attention to detail.
• Strong ability to review and analyze financial and technical data
• Strong proficiency with Microsoft Office (Excel, Word, PowerPoint and Outlook)
• Strong proficiency in understanding contract terms and conditionsPreferred Qualifications
• Experience in renewable energy Operations
• Candidates with international work experience or experience working in a global organizationAdditional Success Factors
• Ability to navigate and succeed in a highly matrixed reporting structure, preferably at an internationalcompany.
• Self-starter with demonstrated performance leading initiatives and building consensus at all levels of amatrixed global organization
• Ability to foster and participate in a productive team environment by establishing and maintaining effectiveworking relationships with co-workers, managers, customers, contractors, and vendors
• Ability to efficiently manage multiple, concurrent, time-sensitive projects and priorities
• Effectively provides and receives information orally in individual and group situations. Written expression isclear, concise, and conveys the desired message
